1. Agreement to Terms
By accessing our website at www.artificiouslabs.com, contacting us, or engaging Artificious Labs for any service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, do not use our website or engage our services.
These terms apply to all visitors, clients, and anyone else who interacts with Artificious Labs.
2. Who We Are
Artificious Labs is a digital services company owned and operated by its founder, based in Playas del Coco, Carrillo, Sardinal, Guanacaste, 50503, Costa Rica. We provide AI Agents, Voice AI, workflow automation, website development, SaaS development, web app development, content creation, digital marketing, and social media management to clients worldwide.
3. Our Services
We offer the following types of client engagements:
Project-Based Work: A one-time scope of work agreed upon before the project begins. This includes but is not limited to website builds, AI agent development, web app development, and SaaS product development. Scope, timeline, and payment terms are defined at the start of each project.
Retainer and Ongoing Monthly Services: A recurring engagement where Artificious Labs provides ongoing work on a monthly basis. This includes services such as social media management, SEO, content creation, and digital marketing. Monthly retainers renew automatically unless cancelled in accordance with Section 6 of these terms.
SaaS Subscriptions: Access to software products developed and maintained by Artificious Labs on a subscription basis. Subscription terms, pricing, and features are defined at the point of purchase or agreement.
Partnership Arrangements: Custom commercial arrangements agreed upon in writing between Artificious Labs and the partner. All partnership terms supersede these general terms where they conflict, provided they are documented in a signed written agreement.
All services are subject to a written proposal, quote, or agreement confirming scope and pricing before work begins.
4. Payment Terms
Payment terms are defined in the proposal or agreement for each engagement. General terms are as follows:
For project-based work: a deposit is required before work begins. The remaining balance is due upon delivery or at milestones defined in the project agreement. Work will not begin until the initial deposit is received.
For monthly retainers: payment is due at the beginning of each billing cycle. Services for that cycle will not begin until payment is confirmed.
For SaaS subscriptions: payment is due at the start of each subscription period as defined at the point of sign-up.
All prices are quoted in United States Dollars "USD" or its equivalent in Costa Rican Colones "CRC" unless otherwise agreed in writing. Artificious Labs reserves the right to pause or suspend work on any engagement where payment is overdue by more than 7 days.
5. Refund Policy
All payments made to Artificious Labs are non-refundable once work has begun. This applies to all service types including prototypes, project-based work, retainers, SaaS subscriptions, and partnership arrangements.
Before work begins, if you decide not to proceed, any deposit paid may be refunded at the sole discretion of Artificious Labs, minus any administrative or processing fees already incurred.
By making a payment and approving the start of work, you acknowledge and accept this no-refund policy.

6. Cancellation Policy
Project-Based Work: You may cancel a project before work begins for a potential refund as described in Section 5. Once work has begun, cancellation does not entitle you to a refund of any amounts paid. Any work completed up to the point of cancellation remains billable.
Monthly Retainers: You may cancel a monthly retainer by providing written notice at least 14 days before the next billing cycle. Cancellation mid-cycle does not entitle you to a refund for that cycle. Services will continue until the end of the paid period.
SaaS Subscriptions: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a subscription period.
Partnership Arrangements: Cancellation terms are defined in the individual partnership agreement.
7. Intellectual Property and Ownership
Upon receipt of full and final payment for a project, the client owns all deliverables produced specifically for that project. This includes but is not limited to websites, web applications, SaaS products, written content, automation workflows, and AI agent configurations built exclusively for the client.
Artificious Labs retains ownership of any pre-existing tools, frameworks, code libraries, methodologies, templates, or proprietary
systems used in the delivery of services. These may be used across multiple client projects and are not transferred to the client.
Artificious Labs reserves the right to display completed work in its portfolio and marketing materials unless the client requests otherwise in writing prior to project completion.
For SaaS products built by Artificious Labs and offered as a subscription service, Artificious Labs retains full ownership of the platform, codebase, and infrastructure. The client is granted a license to use the product during their active subscription period only.
8. Client Responsibilities
To deliver great work, WE NEED YOUR COOPERATION. As a client you agree to provide accurate, complete, and timely information required for the project, respond to requests for feedback, approvals, or content within reasonable time frames, ensure you have the legal right to use any materials, logos, images, or content you provide to us, and not use our services for any unlawful, harmful, or fraudulent purpose.
Delays caused by the client's failure to provide required information or approvals may result in revised timelines and are not the responsibility of Artificious Labs.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. Artificious Labs will not share your business information, project details, or data with third parties except as required to deliver the services or comply with legal obligations.
10. Limitation of Liability
Artificious Labs provides services in good faith and to the best of its ability. However, we cannot guarantee specific business outcomes, revenue results, search engine rankings, or the performance of third party platforms or tools.
To the fullest extent permitted by law, Artificious Labs shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services or website, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability to you for any claim arising from our services shall not exceed the total amount you paid us for the specific service giving rise to the claim.
11. Warranties and Disclaimers
We warrant that we will perform our services with reasonable skill and care. We do not warrant that our services will be uninterrupted, error-free, or that any specific results will be achieved.
Our website and all content on it are provided on an "as is" basis without warranties of any kind, either express or implied.
12. Third Party Tools and Platforms
Our services may involve the use of third party platforms, tools, APIs, or services such as Wix, Google, Meta, OpenAI, or others. Artificious Labs IS NOT RESPONSIBLE for the performance, availability, pricing changes, or policy changes of any third party platform. Any costs associated with third party tools required for your project will be communicated and agreed upon before work begins.
13. Governing Law and Disputes
These Terms of Service are governed by the laws and jurisdiction of the Republic of Costa Rica. Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation between the parties. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Guanacaste, Costa Rica.
If you are a client located in the European Union, you may also have rights under applicable EU law.
14. Changes to These Terms
Artificious Labs reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
